Individual (non-commercial use) License

You may store the Video on a maximum of two personal devices (one download, and one backup). These two devices may only be made used for personal use (meaning yourself, family and friends – but not for organisational or event use), and no additional copies may be made.

Video Download / USB-drive – General Terms of Use
Please read carefully before proceeding. By downloading (or by receiving a posted-out USB-drive) of this video you agree to be bound by the terms below (“Agreement”).

1. Purpose
In consideration of you having made the applicable donation, you may download (or receive a posted-out USB-drive of) this video (“the Video”) for either a) individual (non-commercial), b) internal organisational (non-commercial), or c) event/commercial use, as expressly provided in the applicable licence obtained, and other than this, you are not allowed to distribute the video, put it to any commercial use, or alter the content in any way.

2. The Service
In using this service to download (or receive a posted-out posted-out USB-drive of) the Video (the “Service”) you will be subject to (and agree to the terms of) our privacy policy – see [HERE].

3. Grant of Licence
Ownership.

YMCA Black Country Group (“we,”us”, “our”) is the authorised representative and licensee acting on behalf of the owner(s) (“Owner”) of the copyright material (both video and audio) on the Video (“Video Content”), which is protected by the copyright laws of the United Kingdom as well as other intellectual property laws and treaties. Except for the rights explicitly granted to you in this Agreement, all right, title and interest in the Service and Video Content are reserved and retained by the Owner. You do not acquire any right, title or interest in the Video Content as a result of downloading it (or receiving a posted-out USB-drive) not granted by this Agreement.

For the avoidance of doubt, presentation of the Video Content for any marketing purposes or commercialisation in any other way of the Video Content, is precluded.

All other rights are reserved by us, and any other use or exploitation of the Video Content is strictly prohibited. You may, by way of example and not limitation, subject to the other terms of the Agreement, NOT:

    1. sub-license, lease, sell, transmit, distribute, broadcast, upload, link to online, export or assign any right to or part of the Video Content;
    2. alter, adapt, customize, edit, modify, translate, add to, delete from, or create derivative works based upon any portion of the Video Content;
    3. remove any proprietary or rights notices or labels on the Video Content;
    4. use the Service or Video Content for any commercial or illegal purpose;
    5. attempt to circumvent, avoid, bypass, remove, deactivate, impair or otherwise defeat any digital rights management system used as part of the Service;
    6. pass the Video off as belonging to you or any party other than us; or
    7. disseminate or comment on the Video in a satirical or derogatory manner or any other manner which might reasonably expected to undermine the integrity or reputation of the YMCA.

Delivery of Content.
You acknowledge that use of Video Content may require the use of other hardware and software products and that such hardware and software is your responsibility.

4. No Warranty
We cannot guarantee that the Video when downloaded (or on posted-out USB-drive) is free from hackers or viruses and we are not responsible or liable for any contamination of your system or delays, inaccuracies, errors, or omissions arising out of your use of the Service. We do not warrant that the Service will be uninterrupted or error free, free from viruses or security breaches and we do not make any warranties of any other kind, either express or implied, including, without limitation, warranties of title or merchantability or fitness for a particular purpose regarding the Service or the Video Content.

5. Indemnity
You hereby indemnify, defend and hold harmless us and the Owner from and against any and all liability and costs incurred by us in connection with any claim arising out of any breach or alleged breach of any of your obligations set forth herein.

6. Limitation of Liability
Save for death or personal injury caused by our negligence, under no circumstances shall we be liable for any direct, indirect, special, incidental or consequential damages of any kind arising out of the use of or the inability to use the Service or the Video Content, even if advised of the possibility of such damages.

7. General

Termination.
If you fail to comply with any of the terms or conditions of this Agreement, your license to the Video Content terminates immediately, and in such event, you must erase, destroy or otherwise remove all copies of Video Content that you have downloaded from devices within your possession or control and procure that all recipients of the Video from you do the same.

No Right to Continued Service.
We reserve the right to add, modify, delete, suspend, limit access to or discontinue the Service, or any part thereof, at any time without notice or liability to you.

Changes.
We reserve the right to make changes to this Agreement at any time. Your continued use of the Service following any such changes will constitute your acceptance of them.

Severability.
If any provision of the Agreement is held invalid, unenforceable or void, the remainder of the Agreement shall not be affected thereby and shall continue in full force and effect.

Governing Law and Jurisdiction.
The Agreement is governed by the laws of England and Wales and any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the English courts. The place of performance of the Agreement is England. You are solely responsible for ensuring that downloading and watching the Video is legal in your jurisdiction.

Internal Organisational (non-commercial) Use Licence

You may store the Video on a maximum of three devices (one download (or posted-out USB-rive), and two copies). These three devices may only be made available for non-commercial internal organisation use (e.g. staff, volunteers, members, trustees, and supporters), and no additional copies may be made.

Event / Commercial Licence

The Video may be stored on a maximum of two devices (one download (or posted-out USB-drive), and one copy) and only shown at an event, such as a conference or arts festival. The event may have a commercial or fundraising aspect, or may be completely free to participants. The Video may be shown multiple times at the event. The original and all copies must be deleted after the event.

This event licence is only valid for the duration of the single event. Where the single event takes place over several days (e.g. a conference), the licence is valid until the close of the event up to a maximum of 1 week.
